These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and OptiPrime AI Inc. ("we," "us," or "our"), concerning your access to and use of the OptiPrime AI platform as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Service").
You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms of Service, then you are expressly prohibited from using the Service and you must discontinue use immediately.
Primary Governing Law: Laws of the Province of British Columbia, Canada (for contract interpretation and corporate operations)
Secondary Governing Law: Laws of user's province of residence (for mandatory matters such as employment standards, consumer protection, and tax requirements)
Tertiary Governing Law: Federal laws of Canada where applicable (corporate structure, privacy, banking regulations)
Preferred Dispute Jurisdiction: Courts of British Columbia, Canada (our preferred venue for contract disputes)
Alternative Dispute Jurisdiction: Courts of user's province of residence (when BC courts decline jurisdiction or when mandatory provincial law applies)
OPTI tokens are NOT securities, investments, or employment compensation. They are loyalty rewards similar to airline miles or retail loyalty points.
Participation in the BETA program does NOT create an employment relationship with OptiPrime AI Inc.
The Service is currently offered as a BETA version and is undergoing testing. You acknowledge that you are using a BETA product. This means the Service may contain bugs, errors, and other problems. The Service is provided on an "as is" and "as available" basis. We may change or discontinue any part of the Service at any time without notice. We are not liable for any harm or damages related to your use of this BETA service.
OptiPrime AI Inc. is a federally registered corporation authorized to operate across Canada.
User Location: Users may participate from any Canadian province (except Quebec during initial rollout)
Provincial Compliance: We comply with all applicable provincial laws in each province where we operate
Jurisdiction Flexibility: While we prefer BC jurisdiction, we acknowledge and comply with mandatory provincial laws in user's province of residence
Unless otherwise indicated, the Service is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Service (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of Canada, foreign jurisdictions, and international conventions.
You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Service ("Feedback") provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of this Feedback for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.
OPTI Token Earning: OPTI tokens are earned through quality contributions and platform participation. Earning OPTI tokens does not create any employment, partnership, or business relationship with OptiPrime AI Inc.
You may not access or use the Service for any purpose other than that for which we make the Service available. The Service may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.
These Terms of Service shall remain in full force and effect while you use the Service. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF SERVICE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON.
THE SERVICE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
OPTI token value is not guaranteed and may fluctuate. OPTI tokens are loyalty rewards and do not represent any investment value or guaranteed returns.
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
We reserve the right to modify these Terms of Service at any time. Users will be notified of significant changes to terms via email and platform updates. Continued use of the Service constitutes acceptance of modified terms. If you disagree with changes, you may discontinue use of the Service.
